These Terms of Use (“Terms”) are a binding agreement between you (“you,” “your” or “Customer”) and Adslysuite (“we,” “us” or “our”), whose registered details are in Section 23,, governing your access to and use of the Adslysuite website, dashboard, APIs and related services (together, the “Service”). By creating an account, clicking to accept, or using the Service, you accept these Terms and our Privacy Policy, which forms part of them. If you accept on behalf of a company, you confirm you have authority to bind it, and “you” means that company.
If you do not agree, do not use the Service.
These terms are used throughout this document and the Privacy Policy with the meanings below.
| Term | Meaning |
|---|---|
| Adslysuite, we, us, our | Adslysuite, the provider of the Service, whose registered details are in Section 23. |
| Service | The Adslysuite website, dashboard, APIs, agent, notifications and related services. |
| Platform | A third-party advertising platform the Service connects to — currently Google Ads, Meta, LinkedIn, TikTok, Pinterest, Reddit and OpenAI Ads. |
| Connected Account | An advertising account on a Platform that you have authorised the Service to access. |
| Customer Data | Data and materials you upload, enter or make available through a Connected Account, including campaign structures, performance data and creative assets. |
| Agent | The automated component of the Service that analyses Customer Data, proposes changes to campaigns, and — within the mode and Policy Settings you choose — carries them out. |
| Policy Settings | The limits you configure that bound what the Agent may do: mode, spend caps, channel floors, ceilings, cooldowns, blackout windows, blast-radius limits and the kill switch. |
| Output | Ad copy, images, video, plans, forecasts and analysis the Service generates for you, including anything produced by an AI model. |
| Managed Spend | The advertising spend in your Connected Accounts during a billing period, which determines your plan tier and any overage. |
| Credits | The metered units consumed by AI features. Credits are a usage measure, not currency, and carry no cash value. |
| Ad Spend | Money you pay a Platform for advertising. We never bill, hold, or take custody of Ad Spend. |
Adslysuite connects to advertising accounts you own or are authorised to manage on supported platforms — currently Google Ads, Meta (Facebook and Instagram), LinkedIn, TikTok, Pinterest, Reddit and OpenAI Ads — and provides tools to plan, build, launch, analyse and manage advertising campaigns across them. The Service also runs recurring integrity checks that look for runaway spend, stalled delivery, disapproved ads and broken conversion tracking, and notifies you about what it finds.
The Service includes an AI-assisted agent that can propose changes to your campaigns — for example to budgets, bids, status or keywords. What the agent is permitted to do is set by you, per campaign, on a ladder: Watch records what it would have done and changes nothing; Protect may only ever reduce spend; Optimise may move budget between ad sets without changing the total; and Grow may also raise budget, up to a ceiling you set. Section 7 explains what that means for your responsibility, and it is the most important section in this document.
We are an independent provider. We are not an agent, reseller, or partner of any advertising platform, and we are not endorsed by or affiliated with Google, Meta, LinkedIn, TikTok, Pinterest, Reddit or OpenAI. Platform names and marks belong to their respective owners and are used only to say what the Service connects to.
To use most features you will connect one or more third-party advertising accounts through that platform's OAuth or equivalent authorisation flow. By connecting an account you represent that you own it or are authorised to manage it, and that you may grant Adslysuite the permissions requested — which, depending on the platform and the features you use, may include reading campaign and performance data and creating or modifying campaigns, ad groups, ad sets, ads, keywords and budgets.
The authority you grant. You authorise us to act on the connected account as your agent for the limited purpose of providing the Service, within the permissions you granted and the limits you configure. We will not use that access for any other purpose, and we will not access an account you have disconnected.
You may disconnect an account at any time from the Integrations page, or revoke access directly with the platform. Disconnecting stops all further reading and all agent activity on that account immediately. It does not reverse changes already made — those exist in your ad account on the platform, and remain yours to adjust there. See the Privacy Policy for what happens to the data.
The Service operates on top of third-party advertising platforms, and those platforms require their terms to reach you directly. By connecting an account you agree that:
This section matters more than the others, so we state it plainly and without softening it.
Watch. The agent records what it would have done and changes nothing on your accounts.
Protect. The agent may only ever reduce spend — pausing what is not performing and trimming what is over target. It cannot raise a budget or a bid in this mode.
Optimise. The agent may additionally move budget between entities inside the campaign you assigned, without increasing that campaign's total.
Grow. The agent may additionally raise budget, up to a ceiling you configure.
By enabling any mode above Watch, you authorise the agent to execute actions on your connected accounts without approving each one individually, subject to the guardrails, spend caps, channel floors, cooldowns, blast-radius limits and other settings you configure (“Policy Settings”). You are responsible for choosing a mode and Policy Settings appropriate to your budget and risk tolerance, and for monitoring your accounts. You can change mode, pause the agent or use the kill switch at any time; a pause applies to actions not already in flight.
Guardrails are designed to refuse actions that are clearly unsafe on the evidence available — breaching a spend cap, taking a channel below a floor, acting on stale or internally inconsistent data. They are a safety mechanism, not a warranty. They do not guarantee any advertising result, and they cannot prevent loss caused by market conditions, auction dynamics, competitor behaviour, a platform's own automation, incorrect Policy Settings, inaccurate conversion tracking on your website, or a platform outage, API error or policy change.
You remain responsible for all spend that occurs in your connected advertising accounts, whether initiated by you, by a teammate, or by the agent acting within the permissions and Policy Settings you set. Nothing in the Service transfers that responsibility to us.
The Service can generate ad copy, images and video (“Output”). AI output can be wrong, generic, or unsuitable for your market, and it does not know what claims your business is permitted to make.
You agree not to use the Service to create, launch or manage advertising, or to publish content, that:
You also agree not to: reverse engineer, decompile or attempt to derive the source code of the Service; resell, sublicense or provide the Service to a third party except as a permitted agency use under Section 4; use it to build a competing product; scrape it or access it by automated means outside a documented API; circumvent rate limits, credit limits or access controls; probe or attack its security; upload malicious code; or connect an account you are not authorised to manage.
We may refuse, suspend or reverse an action, and suspend features or an account, where we reasonably believe this section has been breached. Where practical we will tell you first and give you a chance to fix it; where the risk is immediate, we may act first and notify you after.
Ours. The Service, including its software, models of operation, design and branding, is owned by us or our licensors and protected by intellectual property law. These Terms grant you a limited, revocable, non-exclusive, non-transferable right to use the Service for your own advertising operations during your subscription. We reserve all rights not expressly granted.
Yours. You retain ownership of the data and materials you upload or connect, including data from your advertising accounts (“Customer Data”). As between you and us, you own the campaign content, copy, images and video you generate through the Service, subject to the rights of any underlying model provider and to the terms of the platforms you publish to. You grant us a worldwide, non-exclusive, royalty-free licence to host, copy, process, transmit and display Customer Data solely to provide, secure and support the Service, and to produce aggregated, de-identified statistics that cannot identify you or your customers. We do not use Customer Data to train general-purpose AI models.
Feedback. If you send us suggestions, we may use them without restriction or obligation to you.
The Service hosts creative that customers upload and that AI models generate, so we operate a notice-and-takedown process and we act on valid notices.
If you believe material in the Service infringes your copyright or trade mark, send a notice to legal@adslysuite.com with the subject Infringement notice, including all of the following:
We will remove or disable access to material that is the subject of a valid notice and notify the customer who posted it. If you are that customer and believe the removal was mistaken, you may send a counter-notice to the same address with the equivalent information and a statement consenting to jurisdiction, and we will tell the complainant. We terminate the accounts of repeat infringers. Note that we cannot remove an ad from a Platform on your behalf — that is the Platform's own process, and we will tell you where to go.
Your use of connected advertising platforms is governed by their own terms and policies. We are not responsible for changes a platform makes to its API, policies, pricing, metrics definitions or availability. A platform restricting, suspending or withdrawing our API access, or yours, may limit or interrupt related features, and in some cases remove them. That is a characteristic of an integration product rather than a defect, and we will tell you when it materially affects a feature you use.
We may add, change or discontinue features. If we discontinue or materially degrade a feature you are actively using and it is not caused by a third party, we will give at least 30 days' notice where practicable; if that materially reduces the value of your plan, you may cancel and we will refund the unused portion of any prepaid fee.
Our handling of personal data is described in the Privacy Policy. In respect of personal data within Customer Data, you are the controller and we act as your processor, processing it only on your instructions and as described in that policy. Where the GDPR, UK GDPR or a comparable law applies to your use of the Service, our data processing addendum applies and is incorporated into these Terms on request.
You are responsible for having a lawful basis and any required notices or consents for the data you put into the Service or make available to us through a connected account, including any data collected by tracking on your own website.
We aim to keep the Service available and to give reasonable notice of planned maintenance, but we do not commit to an uptime figure in these Terms unless we have agreed one with you in writing. Support is provided by email at support@adslysuite.com during business days, with priority handling on the plans that include it.
Alerts and notifications are provided on a best-effort basis and depend on data we receive from third-party platforms. Do not rely on the Service as your only monitoring for an advertising account. Data a platform reports late, incompletely or incorrectly will be reflected late, incompletely or incorrectly by the Service.
The Service is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express, implied or statutory, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, timely, secure or error-free, that data from third-party platforms will be accurate or complete, or that any campaign, recommendation, forecast, alert or optimisation will achieve any particular return on ad spend, cost per acquisition or other result.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost data, lost goodwill, wasted advertising spend, or loss arising from a change made by the agent within the permissions and Policy Settings you configured, whether or not we were advised such loss was possible.
Our total aggregate liability for all claims arising out of or relating to these Terms or the Service will not exceed the greater of (a) the fees you paid us for the Service in the twelve (12) months immediately before the event giving rise to the claim, or (b) [USD 100]. These limits apply in aggregate across all claims and do not reset per claim. Some jurisdictions do not allow some of these limitations, so parts of this section may not apply to you.
You will defend, indemnify and hold harmless Adslysuite and its officers, employees and agents from and against any third-party claim, and any resulting losses, damages, fines and reasonable legal fees, arising out of or relating to: your advertising content, claims or landing pages; your use of the Service in breach of these Terms or applicable law; your Policy Settings or the mode you selected; your connection of an account you were not authorised to manage; or your infringement of a third party's rights. We will notify you of the claim, let you control the defence of it with counsel of your choosing, and cooperate reasonably at your expense; you may not settle a claim in a way that imposes an obligation or admission on us without our written consent.
You may stop using the Service at any time, and close your account by emailing privacy@adslysuite.com as set out in the Privacy Policy. We may suspend or terminate your access if you materially breach these Terms and do not cure it within 10 days of notice, if you fail to pay, if required by law, or where continued access poses an immediate risk to the Service, another customer or a connected advertising account. We will make reasonable efforts to notify you first, except where immediate action is required.
On termination: your right to use the Service ends; the agent stops acting on your accounts; and we delete stored platform credentials. For 30 days after termination you may request an export of your Customer Data, after which it is deleted on the schedule in the Privacy Policy. Campaigns and settings already live in your advertising accounts are unaffected and remain yours to manage on the platform. Provisions that by their nature should survive — accrued fees, Sections 11, 16, 17, 18, 21 and 22 — survive termination.
We may update these Terms as the Service or the law changes. For material changes we will give notice by email to account holders or in the product at least 14 days before they take effect, unless a change must apply sooner for legal or security reasons. Continuing to use the Service after that means you accept the updated Terms; if you do not, cancel before they take effect. The date at the top of this page always reflects the current version.
These Terms are governed by the laws of [governing jurisdiction], without regard to its conflict-of-laws rules, and the United Nations Convention on Contracts for the International Sale of Goods does not apply.
Before starting any formal proceeding, send a notice of dispute to legal@adslysuite.com describing the claim and the relief you want, and give us 30 days to resolve it informally. We will do the same before bringing a claim against you. Most disputes end here, and this step is a condition of the two that follow.
If a dispute is not resolved within those 30 days, either party may elect to resolve it by binding arbitration rather than in court, administered by a recognised arbitral institution in [governing jurisdiction] under its commercial rules, before a single arbitrator, in English. The arbitrator decides the dispute and the award may be entered as a judgment in any court of competent jurisdiction. Each party bears its own costs unless the arbitrator allocates them otherwise.
Individual basis. Claims must be brought in an individual capacity. Neither party may bring a class, collective, consolidated or representative action, and the arbitrator may not consolidate claims or preside over any form of representative proceeding. If this paragraph is found unenforceable for a particular claim, that claim — and only that claim — is severed from arbitration and heard in the courts named below.
Carve-outs. Either party may still go to court for injunctive or equitable relief to protect its intellectual property or confidential information, and either party may bring an individual claim in a small-claims court that has jurisdiction.
Where a dispute is not arbitrated, it will be brought exclusively in the courts of [governing jurisdiction], and both parties consent to their jurisdiction and venue.
To the extent permitted by law, any claim arising out of or relating to these Terms or the Service must be brought within one (1) year after the cause of action arose, or it is permanently barred. This does not shorten a limitation period that applicable law does not allow us to shorten.
Nothing in this section removes a right or remedy available to you under the mandatory law of your own country of residence or establishment, or requires you to arbitrate where the law applying to you prohibits it. If you are a consumer — the Service is a business tool, so this should not arise — the arbitration and individual-basis paragraphs do not apply to you.
